Terms of Service

1. Agreement to Terms

By engaging Muddy X Digital Ltd (RC 9419718) for website development, mobile app development, AI solutions, SEO services, or any other professional services, you agree to be bound by these Terms of Service. These terms apply to all projects, consultations, and service engagements unless a separate written agreement is signed by both parties.

2. Services and Scope

The scope of services, deliverables, timelines, and pricing for each project are defined in the signed project agreement or proposal document. Any changes to the project scope, additional features, or modifications beyond the original agreement will be treated as change requests and may incur additional costs.

We provide the following services: web development (React, Next.js), mobile app development (React Native, Flutter), AI integration and chatbots, SEO and digital marketing, and custom software development.

3. Pricing and Payment

Pricing for services is outlined in the project proposal or invoice. Standard payment terms are:

  • 50% upfront before project commencement
  • 50% on completion before final delivery and handover
  • For projects exceeding ₦500,000, we may offer milestone-based payments as agreed in the proposal
  • Monthly SEO and retainer services are billed at the beginning of each month

All prices are in Nigerian Naira (₦) unless otherwise stated. Late payments may attract a 5% surcharge per week of delay. We reserve the right to pause work on projects with overdue payments until payment is received.

4. Intellectual Property

Upon full payment of all project fees, ownership of the final deliverables (website, mobile app, or software source code) transfers 100% to the client. This includes the right to use, modify, and distribute the deliverables.

We retain the right to display the project in our portfolio and marketing materials (unless the client objects in writing).

5. Warranties and Support

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a 30-day warranty on delivered websites and 60–90 days on mobile apps to fix any defects in functionality present at the time of delivery.

6. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Oyo State, Nigeria.
