Terms of Service

1. Agreement to Terms

By engaging Muddy X Digital (RC 9419718) for website development, mobile app development, AI solutions, SEO services, or any other professional services, you agree to be bound by these Terms of Service. These terms apply to all projects, consultations, and service engagements unless a separate written agreement is signed by both parties.

2. Services and Scope

The scope of services, deliverables, timelines, and pricing for each project are defined in the signed project agreement or proposal document. Any changes to the project scope, additional features, or modifications beyond the original agreement will be treated as change requests and may incur additional costs.

We provide the following services: web development (React, Next.js), mobile app development (React Native, Flutter), AI integration and chatbots, SEO and digital marketing, and custom software development.

3. Pricing and Payment

Pricing for services is outlined in the project proposal or invoice. Standard payment terms are:

  • 50% upfront before project commencement
  • 50% on completion before final delivery and handover
  • For projects exceeding ₦500,000, we may offer milestone-based payments as agreed in the proposal
  • Monthly SEO and retainer services are billed at the beginning of each month

All prices are in Nigerian Naira (₦) unless otherwise stated. Late payments may attract a 5% surcharge per week of delay. We reserve the right to pause work on projects with overdue payments until payment is received.

4. Project Timelines

Project timelines are estimates provided in the project agreement and are subject to the following conditions:

  • Timelines depend on timely provision of content, assets, and feedback from the client
  • Delays in client approvals may extend the delivery date proportionally
  • We will communicate any anticipated delays promptly and provide revised timelines
  • Force majeure events (natural disasters, government actions, network outages) are beyond our control

5. Revisions and Changes

Each project includes a defined number of revision rounds as specified in the project agreement (typically 2-3 rounds). Additional revisions beyond the agreed scope will be billed separately. A revision round consists of one set of consolidated feedback from the client.

Change requests that alter the original project scope, functionality, or design will be assessed and quoted separately before work begins.

6. Intellectual Property

Upon full payment of all project fees, ownership of the final deliverables (website, mobile app, or software) transfers to the client. This includes the right to use, modify, and distribute the deliverables.

We retain the right to:

  • Display the project in our portfolio and marketing materials (unless the client objects in writing)
  • Retain ownership of pre-existing code, libraries, and frameworks used in development
  • Use general knowledge, techniques, and skills gained during the project for future work

7. Warranties and Limitations

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a 30-day warranty on delivered projects to fix any defects in functionality that were present at the time of delivery.

We are not responsible for:

  • Issues arising from client modifications after project handover
  • Third-party service outages, hosting issues, or domain problems
  • Performance issues caused by client-installed plugins or code
  • Loss of data due to lack of backups by the client
  • Browser compatibility issues not specified in the project agreement

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the project. We will not disclose your business information, project details, or data to third parties without your written consent, except as required by law.

9. Termination

Either party may terminate the agreement with 14 days written notice. In the event of termination:

  • The client will be invoiced for all work completed up to the date of termination
  • All completed deliverables and work-in-progress will be delivered to the client upon payment
  • Refunds are not available for work already completed, but unbilled amounts will not be charged

10. Limitation of Liability

Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim. We shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Oyo State, Nigeria.
